Terms of Service

1. Acceptance

By creating an account at tacitrun.com or otherwise using Tacit ("the Service"), you ("Customer") agree to these Terms of Service ("Terms"). The Service is operated and built by Kiwana AI, Inc. ("we", "us", "Kiwana AI"), a Delaware corporation.

2. The Service

Tacit is a process-modeling and agent-orchestration platform built by Kiwana AI, Inc. We provide software that lets your team capture business processes, compose AI agents, run them in shadow mode, gate promotion to autonomous operation via a 90% agreement threshold, and an IT approval workflow.

3. Account & Eligibility

  • You must be at least 18.
  • One person per Firebase identity.
  • You are responsible for keeping credentials secure.
  • You may not share login credentials.

4. Plans, Billing, and Refunds

Charges have two parts: a platform subscription for your workspace, and a price per live process — the outcome you offload. A process is priced as one outcome regardless of how many agents deliver it. There is no per-agent charge, no per-run metering, and no per-seat metering.

Platform subscription

  • Free: $0/month. 1 seat. Build, evaluate and shadow-run at no charge.

Running a process in production requires a paid plan or an active trial.

  • Trial: 7 days, no card required. One process may run in production during

the trial, with as many agents as that process needs, and no monthly cap on AI spend. When the trial ends, production stops; everything you have built remains.

  • Team: $500/month. 10 seats. Unlimited processes and agents.
  • Business: $1,500/month. 30 seats. Unlimited processes and agents.
  • Enterprise: Custom. Unlimited seats, SSO and SCIM, deployment into your own

cloud, and every process included with no per-process fee.

Per-process pricing. Each process running in production is priced by its capability tier. You see the exact monthly price for a process, and the value it delivers, before you turn it on.

Billing is monthly via Stripe. Upgrades between paid plans are prorated by Stripe, so you are charged only the difference for the remainder of the period. We do not refund partial months; if you cancel mid-cycle you keep the Service until the period ends. Annual plans may be eligible for prorated refunds at our discretion.

5. Acceptable Use

You will not:

  • Reverse-engineer or scrape the Service
  • Use the Service to violate any law
  • Generate or facilitate harmful content (CSAM, hate, malware, etc.)
  • Bypass rate limits, budget caps, or other technical controls
  • Use the Service to compete with us directly

6. Your Data

You retain ownership of all data you upload. We process it per the Privacy Policy and any signed Data Processing Agreement. You grant us a license to process your data only as needed to provide the Service.

7. AI Output

Outputs of AI agents (drafts, decisions, classifications, content) are not guaranteed to be accurate. You are responsible for human-reviewing material outputs before they have business impact. The autonomy gate exists to help you assess agent quality before promoting to production; it does not absolve your responsibility.

8. Service Levels (SaaS plan)

We target 99.5% uptime on the Team, Business, and Enterprise plans. The Free plan and the trial have no SLA. Current security and availability posture is published at tacitrun.com/trust.

9. Termination

You may cancel at any time via the Settings page or POST /api/tenant/cancel. We may suspend or terminate accounts that breach these Terms with reasonable notice (immediately for security/abuse violations).

10. Warranties & Liability

The Service is provided as-is. To the maximum extent permitted by law, Kiwana AI, Inc. disclaims warranties and our aggregate liability is capped at fees you paid in the 12 months preceding the claim.

11. Indemnity

You will indemnify Kiwana AI, Inc. against third-party claims arising from your misuse of the Service.

12. Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved in courts of competent jurisdiction in Delaware.

13. Changes

We may update these Terms with 30 days' notice via email and in-product banner. Continued use constitutes acceptance.
